1. Scope of Application

The following General Terms and Conditions apply exclusively to the sale of goods by us, ImuGeX GmbH, Karl-Grüneklee-Str. 22, 37077 Göttingen, whether such transactions are conducted online (imugex.com, imugex.de, imugex.eu) or offline.
The following General Terms and Conditions apply in their version valid at the time the contract is concluded. Any differing or conflicting terms and conditions of the buyer will not be recognized by us unless we have expressly agreed to them. The execution of services shall not be considered as such consent.
These General Terms and Conditions apply exclusively to entrepreneurs as defined in §§ 14, 310 paragraph 1 of the German Civil Code (BGB).

2. Registration as a Customer

To make a purchase through our website, you must create your own user account and thereby register as a customer in our trading system. Only entrepreneurs (see § 1 para. 2) are eligible to participate.The data required to create the user account must be provided by you completely and truthfully. Any subsequent changes to your personal data must be made by you on your own responsibility.By registering, you give your general consent to the use and storage of your data for the purpose of order processing and, if necessary, to its transfer to third parties (e.g., shipping or payment service providers) for this purpose.

3. Conclusion of Contract

  • We sell our goods and other services exclusively to entrepreneurs as defined in § 14 of the German Civil Code (BGB).
  • The offer is intended solely for research and diagnostic purposes (CE-IVD marked). Orders from private individuals and patients are excluded.
  • The purchase of our products does not grant the customer any rights to licenses or patents.
  • The contract languages are German and English.
    In the case of an online order, you submit a binding contract offer at the end of the ordering process by clicking the button “Order with Payment Obligation” (“Pay now”). A purchase contract is only concluded when we accept this offer. This acceptance is made exclusively by a confirmation email in which we acknowledge receipt and acceptance of your order.

4. Prices, Delivery Time, Shipping Costs, Payment Terms

All prices listed on our websites are net prices. They do not include transport and insurance costs. The exact shipping and handling costs will be stated in the order confirmation.
Unless otherwise specified, the delivery time is generally around 10 to 15 working days. Should delays occur, we will inform you immediately. Delivery dates or deadlines are non-binding unless expressly agreed to in writing as binding.
Price information is provided without guarantee.
All promotional offers cannot be combined with any existing framework agreements.
For orders within Germany, payment is due within 14 calendar days (net). Orders from abroad will be processed after payment has been received. Alternatively, the corresponding purchase order number (PO number) must be provided when placing the order.
In the event of late payment, default interest of 9 percentage points above the applicable base interest rate pursuant to § 288 BGB will be charged, plus a reminder fee of €25 excluding VAT.
Set-off with counterclaims is only permitted if such claims are undisputed or have been legally established.
Shipping costs for deliveries within Germany are €20.00 plus VAT. For shipments requiring dry ice transport, an additional charge of €50.00 plus VAT applies.
Shipping costs for deliveries outside of Germany are calculated individually and displayed in the order summary.
A handling fee of €10.00 plus VAT is charged for all deliveries.
Deliveries within Germany are free of shipping costs for orders with a value of €750 or more. For deliveries to other EU member states, shipping costs are waived for orders with a value of €2,000 or more. Below these amounts, the shipping costs are calculated separately as described in section IX and displayed in the order summary.
For orders outside of Germany, the customer is responsible for all customs duties, export, and public charges.

6. Exclusion of the Right of Withdrawal for ConsumersOur products and services are intended exclusively for entrepreneurs as defined in § 14 of the German Civil Code (BGB). Therefore, a right of withdrawal for consumers does not exist.

7. Performance Obligations, Delivery Conditions, Delivery Delays, Default of Acceptance

We fulfill our performance obligations from the purchase contracts concluded with you by delivering the goods from our warehouse in Göttingen.
We are entitled to make partial deliveries, provided the partial delivery is reasonable for the buyer in each individual case.
Our obligation to perform is limited, until the transfer of the goods to the shipping or transport company, to the stock available in our warehouse of goods of the same type and designation. There is no obligation for further procurement. In particular, we are not obliged to reorder identical goods from the upstream supplier.
The buyer bears the risk of accidental deterioration and any damages to the goods after transfer to the freight carrier. This also applies even if we cover certain services such as shipping costs.
The agreed or specified delivery periods begin only once we have received a binding delivery date from the respective manufacturer. This date will be communicated in the order confirmation.
In cases of force majeure that are unforeseeable and unavoidable for ImuGeX, ImuGeX is entitled to postpone the fulfillment of the contract. The customer will be informed of this without delay. Claims for damages are excluded in such cases.
If the buyer is in default of acceptance or if the delivery is delayed for other reasons attributable to the buyer, the contractual relationship remains unaffected. Furthermore, we are entitled to claim compensation for any resulting damages from the customer.

8. Retention of Title

We retain ownership of the purchased goods until full payment has been received under the delivery contract. The customer is obligated to handle the goods with care and, in particular, to protect them from damage.

9. Warranty, Returns, Condition of Goods

Due to the nature of our products (intermediate goods), returns or exchanges are excluded.The warranty provided by ImuGeX is limited exclusively to the specifications listed in the product’s accompanying data sheet. All claims must be made within five days of delivery. Warranty claims outside the intended use of the product (as stated in the data sheet) are expressly excluded.
We do not assume any guarantee regarding the agreed-upon condition of the goods within the meaning of § 443 of the German Civil Code (BGB).

10. Liability and Limitation of Liability

The statutory liability provisions apply.
In cases of slightly negligent breaches of essential contractual obligations (cardinal obligations), liability is limited to the typical, foreseeable damage under the contract.
Further liability—such as compensation for lost profits or indirect damages—is excluded. The mandatory provisions of the Product Liability Act remain unaffected.
ImuGeX GmbH assumes no liability for the content of external links. The respective operators are solely responsible for the content of the linked pages.

11. Email Communication / Newsletter

If the customer has explicitly given consent, ImuGeX GmbH may use the provided email address to send product information, offers, or industry-specific updates. This consent may be revoked at any time with effect for the future, for example via a link in the newsletter or by email to legal@imugex.com. The email address will not be sold or passed on to third parties for marketing purposes.

12. Prohibition of Assignment of Claims

The assignment of claims against ImuGeX to third parties is excluded.

13. Final Provisions, Applicable Law, Place of Jurisdiction, Severability Clause

Amendments or additions to these General Terms and Conditions must be made in writing. This also applies to the waiver of this written form requirement.If the buyer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction and performance for all disputes arising from the contractual relationship is Göttingen, the registered office of ImuGeX GmbH.

ImuGeX GmbH reserves the right to sue at the customer’s place of business as well.This contract and all legal relationships between the parties shall be governed by the laws of the Federal Republic of Germany. The provisions of the UN Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
If individual provisions of this contract are or become invalid or conflict with statutory regulations, the validity of the rest of the contract shall remain unaffected.
